Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Gavi WhatsApp Marketing application (the "Service") operated by Gaurav Agarwal (doing business as Gavi Ventures) ("us", "we", or "our").

1. Acceptance of Terms

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Gavi WhatsApp Marketing is a Shopify application that enables merchants to:

• Send automated WhatsApp messages for order confirmations, shipping updates, and abandoned cart recovery
• Manage customer conversations through a unified inbox
• Create and manage WhatsApp message templates
• Add WhatsApp chat buttons to their online store
• Access analytics and reporting on messaging performance

3. Account Requirements

To use our Service, you must:

• Have an active Shopify store
• Have or create a WhatsApp Business Account
• Comply with WhatsApp Business Policy and Commerce Policy
• Provide accurate and complete information
• Be at least 18 years old or the legal age in your jurisdiction

4. WhatsApp Business Policy Compliance

You agree to comply with all applicable WhatsApp policies, including:

You are solely responsible for ensuring your use of WhatsApp messaging complies with these policies. Violations may result in suspension of your WhatsApp Business Account by Meta.

5. Acceptable Use

You agree NOT to use the Service to:

• Send spam or unsolicited messages
• Send messages without proper customer consent
• Harass, abuse, or harm others
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware or malicious content
• Attempt to gain unauthorized access to our systems

6. Customer Consent

You are responsible for obtaining proper consent from your customers before sending them WhatsApp messages. This includes:

• Clear opt-in for marketing messages
• Providing opt-out mechanisms
• Honoring unsubscribe requests promptly
• Complying with applicable data protection laws (GDPR, CCPA, etc.)

7. Fees and Payment

Some features of our Service require a paid subscription. By subscribing to a paid plan:

• You agree to pay all applicable fees
• Fees are billed through Shopify's billing system
• Subscriptions renew automatically unless cancelled
• Refunds are handled according to Shopify's refund policy

WhatsApp conversation charges are billed separately by Meta according to their pricing.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Gaurav Agarwal (doing business as Gavi Ventures) and are protected by international copyright, trademark, and other intellectual property laws.

9. Limitation of Liability

To the maximum extent permitted by law, Gaurav Agarwal (doing business as Gavi Ventures) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Loss of data
• Business interruption
• WhatsApp account suspension or termination by Meta

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Indemnification

You agree to indemnify and hold harmless Gaurav Agarwal (doing business as Gavi Ventures) from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service will cease immediately
• We may delete your data according to our data retention policy
• You may request export of your data before termination

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Gaurav Agarwal (doing business as Gavi Ventures) operates, without regard to its conflict of law provisions.
